Choosing an AI vendor in healthcare is not just a product decision. It is also a data, compliance, security, and governance decision.That matters because AI tools can affect documentation, workflow support, analytics, communications, and other functions that may involve protected health information or create downstream operational risk. HHS guidance explains that when a cloud service provider creates, receives, maintains, or transmits electronic protected health information on behalf of a covered entity or business associate, a HIPAA-compliant business associate agreement may be required. HHS also states that the Security Rule requires appropriate administrative, physical, and technical safeguards for ePHI.<h2 id="3cae9766-7464-479b-ae1f-f9b554a48823" data-toc-id="3cae9766-7464-479b-ae1f-f9b554a48823" style="font-size: 24px; line-height: 1.2;">Start With the Vendor’s Role</h2>The first question should not be, “Does this tool look impressive?”It should be, “What role is this vendor actually playing in our environment?” If the vendor is handling ePHI on your behalf, the BAA question becomes immediate. But a BAA is only one part of the picture. HHS’s cloud guidance makes clear that even when a BAA is in place, the covered entity or business associate still needs to understand the environment well enough to conduct its own risk analysis and risk management.In other words, a signed agreement does not remove the need for internal diligence.<h2 id="d21f2e86-b8ca-45af-878b-f19191041605" data-toc-id="d21f2e86-b8ca-45af-878b-f19191041605" style="font-size: 24px; line-height: 1.2;">Follow the Data Path</h2>A strong vendor review starts with the data path.Healthcare teams should understand what information goes into the system, where that information is stored, who can access it, whether logs are created, how long data is retained, and whether the vendor uses submitted data for model training, service improvement, or any secondary purpose.HHS’s risk analysis guidance says the Security Rule requires an accurate and thorough assessment of the risks and vulnerabilities to ePHI in the organization’s environment, and that risk analysis is the first step in that process. That means vendor review should be tied directly to how data flows in the real workflow, not just to the vendor’s marketing claims.<h2 id="be861a8b-90e5-46b4-8cb6-cb3fb5439012" data-toc-id="be861a8b-90e5-46b4-8cb6-cb3fb5439012" style="font-size: 24px; line-height: 1.2;">Treat the Contract as a Real Risk Control</h2>The contract deserves more attention than many teams give it.HHS provides sample business associate agreement provisions and notes that the contract must establish permitted and required uses and disclosures and require the business associate to safeguard the information appropriately. That makes the BAA more than an administrative formality. It is one of the main places where responsibilities, restrictions, and expectations are defined.Teams should understand whether the vendor is willing to sign a compliant BAA, whether subcontractors are involved, and whether the contract language actually matches the intended workflow.<h2 id="0127d23e-3d3d-4252-98f5-f1a64144d3a1" data-toc-id="0127d23e-3d3d-4252-98f5-f1a64144d3a1" style="font-size: 24px; line-height: 1.2;">Governance Matters as Much as Contracting</h2>Governance matters just as much as contracting.NIST’s AI Risk Management Framework and its Generative AI Profile are voluntary resources, but they are useful because they push organizations to think beyond procurement and toward ongoing governance, measurement, and management of AI risk.For healthcare teams, that means asking practical questions before rollout. Who approved this vendor? Which use cases are allowed? What data is prohibited? Who reviews outputs? What happens if the tool produces a problematic result or raises a privacy concern?Those are governance questions, not just IT questions.<h2 id="95254e22-1d60-4c55-ba66-480a56d0c3de" data-toc-id="95254e22-1d60-4c55-ba66-480a56d0c3de" style="font-size: 24px; line-height: 1.2;">Not Every Use Case Carries the Same Risk</h2>A smart healthcare organization should also separate low-risk and high-risk uses.A tool that helps draft generic internal language may require a very different review process than a tool that interacts with patient-related workflows or supports operational decisions tied to care delivery. That is an inference from the broader HHS and NIST guidance, but it follows their shared logic: risk depends on context, data, and intended use, not just on the label “AI.”Vendor evaluation should reflect that reality.
